About the FOWOD

Established in 1991, the Friends of the Washington and Old Dominion Trail (or Railroad Regional Park) -- FOWOD for short -- is a citizen-driven organization dedicated to protecting and improving the W&OD Trail. It was re-established as an advisory body of the Northern Virginia Regional Park Authority in 1997. The purpose of the FOWOD is to support and enhance the Washington and Old Dominion Railroad Regional Park (W&OD) as a recreational, environmental and historic resource through volunteer efforts in fund raising, promotion, educational programming and maintenance.

The governing body of the FOWOD normally consists of 15 northern Virginia residents from a number of jurisdictions on or near the trail who have a variety of recreational interests in the W&OD trail. The current members of the FOWOD Board are:

BYLAWS
OF
THE FRIENDS of the WASHINGTON AND OLD DOMINION
RAILROAD REGIONAL PARK

ARTICLE I - ELECTION OF OFFICERS
Section 1 - The election of Board members shall be held at the annual meeting of the Friends and shall be confirmed by the NVRPA Board.  Board members shall serve a term of two years.  Officers of the Board shall be elected annually to serve from May 1 through April 30, subject to confirmation by the NVRPA Board.  The Board members elected at the 1997 meeting shall serve through April 30, 1999 and seven Board members elected at the 1998 meeting shall serve through April 30, 2000.

Section 2 - Between annual meetings, the President, with the advice of the Board, may appoint Friends members to fill vacancies on the Board.

Section 3 - All members of the Board shall be eligible for re-election.

Section 4 - Prior to the annual meeting, the President shall appoint a Chairman and at least two members to serve as the Nominating Committee.  Said committee shall submit a slate of candidates to the membership at least two weeks prior to the annual meeting.

Section 5 - Additional nominations may be made from the floor provided the nominee has given his or her consent.


ARTICLE II - MEETINGS
Section 1 - At least two meetings shall be held during the year.  One of these shall be the annual meeting held in April at a location designated by the Board. Additional meetings shall be held on dates fixed by the Board at places designated by the President.

Section 2 - Special meetings may be called by the President.

Section 3 - Ten members may, by signed petition, instruct the President to call a special meeting. The petition shall state the reason for such meeting. Upon receipt of such petition, the President shall call a special meeting within one week.

Section 4 - Twenty members shall constitute a quorum.


ARTICLE III - DUTIES OF OFFICERS
Section 1 - The President shall be the principal officer of the Friends and shall preside at all meetings.  The President may appoint the following standing committees: Program, Membership, Publicity, Fund-raising, Acquisition.  The President shall appoint other such committees as the Board shall direct.

Section 2 - The Vice-President shall assume the duties of the President in the absence of the President.

Section 3 - The Recording Secretary shall keep accurate records of the meetings and proceedings of the Friends and shall maintain the membership roster.

Section 4 - The Corresponding Secretary shall issue notices of meetings and shall conduct the correspondence of the Friends.

Section 5 - The Treasurer shall be responsible for overseeing the accounting of the Friends funds.


ARTICLE IV - ANNUAL DUES

Section 2 - The fiscal year shall be the fiscal year of the NVRPA.  Any member in arrears more than one year, after due notice, shall be dropped from the membership roster.


ARTICLE V - AMENDMENTS
The Bylaws may be amended at any meeting by a majority vote of the members present, subject to confirmation by the NVRPA Board.  Proposed amendments will be mailed to all members at least two weeks prior to the meeting.


ARTICLE VI - ORDER OF BUSINESS
Business shall be conducted according to Robert's Rules of Order, Newly Revised.
